These Terms of Service (“Terms”) are a binding agreement between you and Akolbeseder LLC (“Tzili,” “we,” “us,” or “our”). They govern your use of the Tzili website at tzili.com, the Tzili mobile applications for iOS and Android, the Tzili wearable band and its firmware (the “Band”), and any related features, content, and services (together, the “Service”). By creating an account, joining our waitlist, buying or using the Band, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
IMPORTANT: TZILI IS A GENERAL WELLNESS PRODUCT. THE APP AND THE BAND ARE NOT MEDICAL DEVICES, NOT HEALTHCARE, AND NOT AN EMERGENCY SERVICE. IF YOU ARE IN CRISIS OR THINKING ABOUT HARMING YOURSELF OR OTHERS, CONTACT EMERGENCY SERVICES IMMEDIATELY: IN THE UNITED STATES, CALL 911 OR CALL/TEXT 988 (SUICIDE & CRISIS LIFELINE); IN ISRAEL, CALL 101 (MAGEN DAVID ADOM) OR 1201 (ERAN EMOTIONAL FIRST AID); ELSEWHERE, CONTACT YOUR LOCAL EMERGENCY NUMBER OR GO TO THE NEAREST EMERGENCY ROOM. DO NOT USE TZILI TO SEEK EMERGENCY HELP.
THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 16) THAT AFFECT YOUR LEGAL RIGHTS.
Tzili is designed to support general wellbeing, including relaxation, stress management, grounding, emotional self-awareness, healthy routines, and staying connected with people you care about. Tzili is not intended to diagnose, treat, cure, mitigate, monitor, predict, or prevent any disease, disorder, or medical or psychological condition, including post-traumatic stress disorder (PTSD), anxiety disorders, depression, heart conditions, sleep disorders, or any other condition.
Neither the Band nor the app has been evaluated, cleared, or approved by the U.S. Food and Drug Administration, the Israeli Ministry of Health, or any other health regulator as a medical device.
Tzili does not provide medical, psychological, psychiatric, or clinical advice, diagnosis, or treatment. Using Tzili does not create a doctor-patient, therapist-client, or any other healthcare relationship between you and Tzili. Tzili is not a replacement for therapy, medication, or care from a qualified professional. It is meant to complement that care and your relationships with other people.
The Band uses consumer-grade sensors to collect signals such as heart rate, heart rate variability, movement, and sleep patterns. Tzili uses these signals to offer general wellness insights, check-ins, gentle vibrations, and suggestions. These are not medical measurements, clinical assessments, or medical alerts. They may be inaccurate, delayed, or missed entirely. Do not rely on Tzili to detect, warn you of, or respond to any health event, emotional crisis, or emergency.
Always seek the advice of a physician, licensed mental health professional, or other qualified provider about any medical or mental health condition. Never ignore professional advice, delay seeking it, or stop any treatment or medication because of something you read, heard, felt, or experienced through Tzili.
Tzili does not monitor you in real time for safety purposes and does not contact emergency services on your behalf. Band vibrations, app notifications, and wellness check-ins are wellness features, not emergency alerts. Features that let Tzili reach out to your loved ones, or play recorded messages from them, are convenience and connection features. They are not emergency response, crisis intervention, or safety monitoring. The Band, your phone, Bluetooth connections, and messages may fail, disconnect, run out of battery, or be delayed, and your contacts have no obligation to respond. If you or someone else is in danger, contact emergency services directly (see the notice at the top of these Terms).
You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service.
You agree to provide accurate information, keep your login credentials confidential, and restrict access to your devices. You are responsible for all activity under your account. Notify us promptly at [support@tzili.com] if you suspect unauthorized use.
You may hold only one account. Accounts are personal and not transferable.
The Service may include the Band, an AI companion, breathing and grounding exercises, sensory and haptic tools, wellness check-ins, pattern insights based on Band data, recorded voice messages from people you choose, and tools to contact people in your support network. Features may change over time.
Tzili’s companion is powered by artificial intelligence, not a human. AI-generated responses may be inaccurate, incomplete, or inappropriate for your situation, and they are not professional advice. Use your own judgment and consult a qualified professional for any health, legal, or safety decision.
The Service requires the Band and a compatible iOS or Android smartphone with Bluetooth enabled, the Tzili app installed, and an internet connection for some features. You must grant certain permissions, such as Bluetooth and notifications, for the Band and app to work. You can revoke permissions in your device settings at any time, but doing so may limit functionality. Supported operating system versions are listed at [tzili.com/compatibility] and may change.
If offered, you may choose to connect Tzili with third-party health platforms such as Apple Health or Google Health Connect. These integrations are optional and controlled by you, and the third party’s own terms apply to them.
If you join our waitlist or take part in early access or beta programs, those features and devices may be incomplete, may contain errors, and may change or be discontinued without notice.
You may access Tzili through an employer, organization, or program (“Sponsor”), or choose to share information with a professional you work with. Additional terms from the Sponsor may apply. Tzili is not responsible for the care, advice, or services any professional or Sponsor provides to you. We share your personal information with a Sponsor or professional only as described in our Privacy Policy or as you authorize.
If you buy the Band directly from us, prices, taxes, and shipping costs are shown at checkout. Title and risk of loss pass to you when the Band is delivered to the carrier. Orders are subject to acceptance and availability. If you buy the Band from a retailer or through an organization, that seller’s terms also apply to your purchase.
You may return a Band bought directly from us within [30] days of delivery for a refund of the purchase price, excluding shipping, if it is returned in its original condition with all accessories. Start a return at [support@tzili.com]. This does not affect any non-waivable rights you have under consumer protection law, including any statutory right to cancel.
We warrant to the original purchaser that the Band will be free from defects in materials and workmanship under normal use for [one (1) year] from the date of original retail purchase (the “Warranty Period”). If a covered defect appears during the Warranty Period and you notify us at [support@tzili.com] with proof of purchase, we will, at our option, repair the Band, replace it with a new or refurbished equivalent, or refund the purchase price. This is your sole and exclusive remedy for defects.
This Limited Warranty does not cover: normal wear and tear, including of straps and bands; cosmetic damage; damage from accidents, misuse, drops, liquid exposure beyond the Band’s stated water-resistance rating, fire, or extreme temperatures; use with chargers or accessories not supplied or approved by us; modification, disassembly, or repair by anyone other than us; Bands whose serial number has been removed or altered; or data loss. This Limited Warranty gives you specific legal rights, and you may have other rights that vary by jurisdiction.
The Band runs firmware owned by us. We may deliver firmware and app updates automatically, including updates that add, change, or remove features. Some features may not work unless you install updates. Your right to use the firmware is licensed, not sold, under Section 10.
Read and follow the safety and care instructions included with the Band and at [tzili.com/safety]. In particular:
Band readings are estimates. Their accuracy can be affected by fit, movement, skin characteristics, tattoos, temperature, and other factors. Band data is intended for general wellness purposes only.
When you add contacts, invite people to record messages, or ask Tzili to contact someone for you, you confirm that you have their permission to share their contact information and to have Tzili communicate with them for these purposes.
People who record voice messages for you (“Contributors”) must agree to these Terms. Contributors keep ownership of their recordings and may ask us to delete them.
Some features may require a paid subscription, which is separate from the purchase of the Band. [Core Band features work without a subscription.] Prices, billing periods, and any free trial terms will be shown before you buy.
Unless you cancel before the end of the current period, subscriptions renew automatically and are charged to your payment method. A free trial converts to a paid subscription at the end of the trial unless you cancel first.
Subscriptions purchased through the Apple App Store or Google Play are processed by those platforms and subject to their terms and refund policies. You must cancel through your account settings on that platform.
Except as stated in Section 5.2, where required by applicable law, or as stated otherwise at purchase, subscription payments are non-refundable. When you cancel, you keep access until the end of the current billing period.
We may change pricing with advance notice. Price changes to subscriptions take effect at your next renewal.
You agree not to:
We may suspend or terminate your access if we believe you have violated these Terms.
“Your Content” means anything you submit or generate through the Service, such as Band data, journal entries, messages to the AI companion, recordings, and feedback. You keep ownership of Your Content.
You grant Tzili a worldwide, non-exclusive, royalty-free license to host, store, process, and use Your Content only as needed to operate, maintain, secure, and improve the Service, as described in our Privacy Policy. We will not publish Your Content or use it in marketing without your separate, explicit consent.
If you send us suggestions or feedback about the Service, we may use them without restriction or compensation to you.
The Service, including the app, the Band’s design and firmware, and all related software, content, text, audio, graphics, and trademarks such as the Tzili name and logo, is owned by Akolbeseder LLC or its licensors. It is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the app and the Band’s firmware, on Bands you own or lawfully control, for your own non-commercial wellness purposes. All rights not expressly granted are reserved.
The Service may integrate with or link to third-party products and services, such as the Apple App Store, Google Play, Apple Health, Google Health Connect, payment processors, shipping carriers, and AI model providers. Their own terms and privacy policies govern your use of them, and we are not responsible for them.
You use the Service and the Band voluntarily and at your own risk. Breathing, grounding, movement, haptic, and sensory exercises may not suit everyone. Stop any exercise or Band feature that causes discomfort, and consult a physician before use if you have a medical condition. Some people may find that reflecting on difficult experiences brings up strong emotions. If that happens, pause and reach out to a qualified professional or someone you trust. You are solely responsible for your health decisions and for any actions you take based on the Service.
EXCEPT FOR THE LIMITED WARRANTY IN SECTION 5.3, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND THE BAND ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THIS INCLUDES ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WHERE IMPLIED WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, THEY ARE LIMITED IN DURATION TO THE WARRANTY PERIOD. WE DO NOT WARRANT THAT THE SERVICE OR THE BAND WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT ANY READING, INSIGHT, VIBRATION, NOTIFICATION, OR AI-GENERATED CONTENT WILL BE ACCURATE, TIMELY, OR COMPLETE, OR THAT USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR WELLNESS, HEALTH, OR THERAPEUTIC RESULT. SOME JURISDICTIONS DO NOT ALLOW LIMITS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THIS LIMITATION MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW, AKOLBESEDER LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES DAMAGES FOR EMOTIONAL DISTRESS, LOSS OF DATA, OR LOSS OF PROFITS ARISING FROM OR RELATED TO THE SERVICE OR THE BAND, INCLUDING ANY FAILURE OF A SENSOR, FEATURE, BLUETOOTH CONNECTION, VIBRATION, NOTIFICATION, OR MESSAGE TO FUNCTION OR BE DELIVERED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE AND THE BAND WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE BAND AND THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US $100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE THE LAW DOES NOT PERMIT EXCLUSION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Akolbeseder LLC and its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, that arise from your misuse of the Service or the Band, your violation of these Terms or any law, or Your Content.
Before filing any claim, you agree to contact us at [legal@tzili.com] and try to resolve the dispute informally for at least 30 days.
If the dispute is not resolved, you and Tzili agree to resolve it by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. There are two exceptions: either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for misuse of intellectual property. The Federal Arbitration Act governs this Section.
You and Tzili may bring claims against each other only in an individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding.
You may opt out of this arbitration agreement by emailing [legal@tzili.com] within 30 days of first accepting these Terms. Include your name, your account email, and a clear statement that you are opting out.
Nothing in this Section limits any non-waivable rights you have under the consumer protection laws of your country of residence.
These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. Subject to Section 16, the exclusive venue for any court proceedings is the state and federal courts located in [COUNTY, STATE].
We may modify, suspend, or discontinue any part of the Service at any time. If we discontinue core Band functionality within the Warranty Period, we will offer a remedy consistent with Section 5.3 or applicable law. We may update these Terms from time to time. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Sections 1, 2, 5.3, 5.5, 5.6, 9.3, and 10 through 17 survive termination.
These Terms, our Privacy Policy, and any safety or warranty information included with the Band are the entire agreement between you and Tzili about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets. If these Terms are translated, the English version controls.
